Service

The Logistics Service includes, but not limited to air, ground and ocean transportation, distribution, customhouse brokerage, duty drawback, marine cargo insurance, warehousing, freight forwarding, product inspections, provide Proof of Delivery documents i.e., Waybill, Forwarder's Cargo Receipt, Delivery Receipt, Pick Up Receipt, Inspection Certificate document, and all necessary documents in the movement of merchandize.

Alliances

The Trading Site strives to foster reliability by carefully choosing reputable companies for alliance relationships. In order for the Logistics System to function as designed and expected, alliances with Global Logistics Providers are required. The Trading Site makes no claims to the reputation, credibility, service and availbility of the Alliance Partners Services. The Trading Site is a facilitator of these Services and all charges for their services are paid according to their standard fee schedule.

Carriers and Shipers

The Trading Site a business-to-business e-commerce infrastructure that enables Carriers and Shippers to conduct and settle transportation requirements securely over the Internet. By aggregating Carriers and Shippers, our system automates and streamlines the logistical processes between Shipper (Customer) and Carrier (Transporter). The objective of the Trading Site is to provide a cost effective, reliable, secure and user-friendly solution for conducting and settling logistical requirements of the Customer.

Transport Reverse Auctions

When the Customer chooses to post their requests for a freight quote through the Trading Site´s Logistical Service, you are actually posting your requests on a Auction format. Carriers (bidders) who are interested in that request will start bidding (compete one Carrier against other ) and offer the Customer the lowest price they are willing to sell their transportation service. This is our automated "Transport Reverse Auction" model. The Trading Site takes no responsibility for the outcome of the Transport Reverse Auction. We make no statement if you will, in fact, receive a lower price to transport your products. The outcome is solely dependant upon market offer and demand. The Trading Site is a facilitator of these Services and all charges for the use of the Transport Reverse Auction services are paid according to their standard fee schedule.

Logistics Documentation

The Logistics Department creates the proper documents required to ship and deliver the merchandise. These Documents are provided to the Trading Site for the use of the Customer. The Customer is under any obligation to use the Logistical and Transportation Services or any of its Documentation. The Logistics System creates the Packing Lists and Proof of Delivery Documents, i.e. Waybill, Forwarder's Cargo Receipt, Delivery Receipt, Pick Up Receipt, Inspection Certificate document, and all necessary documents required in the movement of merchandize. The Trading Site makes no claimes or takes no responsibility over the accuracy of the Logistics Documents. It is up to the Customer to make certain that these documents comply with its respective countries export and import regulations and requirements.

Order Inspection

If the order requires inspection, the Logistics Department will notifies the inspecting entities and once the merchandize has been properly inspected, the inspecting party submits an inspection certificate. At the time of delivery a third party logistics provider submits the incoterm-appropriate proof-of-delivery documents. The Logistics and Transportation Service (L&T System) provides this as a fee based service to the Trading Site and available for the use of the Customer. The Trading Site makes no claimes or takes no responsibility over the timely notification, accuracy or fees of the Oder Inspection process.

Reliablility

The Logistical and Transportation System strives to be reliable and accurate in all information and documentation it provides. However, we make no specific claims that all information and documents will be error free. We therefore request the Customer to confirm with its local authorities that they have the required documents to export and import the products purchased on the Trading Site.

Security

The Logistical and Transportation System provide a trusted and secure network to instill confidence to conduct and verify the logistical transactions over the Internet. One of the ways the L&T System is protected is by a 128-bit communication encryption. Furthermore, the L&T System has a privacy and confidentiality policy regarding all applicant and member information.

Digital Signatures

Transactions on the L&T System are also protected by digital signature technology. Digital signatures provide a means of authenticating electronic data. Digital signatures will be utilized by the L&T Department to verify that a specific Customer has created or approved an electronic document.

Discrepancy Notification

L&T System compliance engine electronically check documents against one another. Unlike traditional paper-based transactions where discrepancies may cause weeks of delay, the L&T System recognizes discrepant documents and automatically alerts the parties involved. Any discrepancy in information provided or in any documents, the L&T Department will immediately notify all parties involved, and will take the necessary steps required to correct the problem.

Logistics Consulting Services

Consulting Services will be provided on an agreed upon fixed fee schedule based on project and/or hourly rate.

 

FEE SCHEDULE

General

All transactions and fees are in U.S. dollars unless otherwise indicated. The L&T System and Trading Site reserves the right to modify the Fee Schedule and to modify, add to, delete or discontinue some or all of the Services.

Membership Fee

The L&T System is currently waiving its Membership Fees for the Logistic and Transportation Services. However, we reserve the right to charge for the service in the future and will notify all current members by email 30 days prior to any Membership Fee changes.

Transport Reverse Auction Services

In order to keep the Fees low for all parties involved, the Fees to the L&T System are payable by the Seller and by the Buyer.
The Seller and Buyer will pay a fee for each auction that will be a percentage or fixed price (as may be indicated) of the accepted auction bid price for each item. The L&T System is currently waiving the per auction set-up fee. However, we reserve the right to charge for the service in the future and will notify all current Customers by email 30 days prior to any per auction set-up fee changes. Payment of fees to the L&T System is due at the end of the Auction by one of the payment options choosen at the Auction Site. Payment is due to the L&T System even if Buyer and Seller have not completed settlement of the transaction.

Shipment Management Services

Shipment charges will be quoted on an individual basis at the time of shipment.

 

EXPORT POLICY

Order Acceptance

Purchaser acknowledges that no order shall be deemed accepted unless and until it is verified and accepted by the Trading Site. Purchaser further consents that submission of its order shall subject Purchaser to the jurisdiction of the international courts and the Country where the order originated.

Country of Importation

Purchaser represents that it is purchasing products destined to the country specified in the shipping documents. Purchaser agrees that the products will be shipped to the specified destination in compliance with the laws of such destination and that there will be no re-export or diversion from such specified destination, if applicable by law. If requested by the Trading Site, Purchaser shall provide documentation satisfactory to the Trading Site verifying delivery at the designated country. Purchaser agrees to inform the Trading Site at the time of order of any NAFTA or other certificates of origin or other special documentation, packaging or product marking or labeling required by the Country of Destination. The Trading Site shall not be responsible for providing any such documentation, packaging, marking or labeling unless the Trading Site expressly agrees.

Export and Import Licenses, Controls, and Permits

Purchaser shall be responsible for obtaining and paying for any permits, licenses or other governmental authorization(s) necessary for the exportation from the originating Country, if required or importation of the products to the Country of importation, and it shall comply with all laws and regulations thereof.

Freight Forwarders

Purchaser shall select and pay the freight forwarder who shall solely be the Purchaser's agent. The freight forwarder's actions shall not be deemed authorized by, or binding upon the Trading Site unless expressly agreed to by the Trading Site. The Purchaser and its freight forwarder shall be solely responsible for preparing and filing the required export and/or import Declarations. At the request of the Trading Site, Purchaser agrees to provide copies of any export, shipping or import documents prepared by Purchaser or its agents related to any and all sales to Purchaser.

Freight Policy

Title and risk of loss shall pass to Purchaser on delivery to the international carrier provided that if payment for the Freight has not been made at the time of shipment, the Trading Site and/or the Logistical and Transportation System shall retain title (but not risk of loss) until payment has been made. If product is damaged in transit, Purchaser must file claim exclusively with airline, carrier, vessel and/or insurance company. Shipping Charges

Unless otherwise stated in the Purchase Order, freight and shipping fees will be charged for shipments to a customer's place of business anywhere in the contiguous United States, using a carrier of our choice. Other terms apply to any other Country in the world. Any extra charges incurred for additional services, such as customer's carrier or special handling by the carrier, must be paid by the Customer. Items backordered from an order qualifying for prepaid shipping charges will be shipped prepaid. Title and risk of loss pass to the customer upon tender of shipment to the carrier. If product is damaged in transit, consignee must file claim with the approriate carrier.

Foreign Corrupt Practices Act

Purchaser acknowledges that it is not the agent of the Trading Site and represents and warrants that it has not, and covenants that it will not, pay anything of value to any government employee in connection with the resale of the products.

Independant Contractors

The trading Site and Purchaser are independent contractors and not principal and agent. Purchaser is not authorized to, and shall not make any representations on behalf of, or which are binding upon the trading Site.
